外资并购方式将取代外商直接投资创建企业方式作为我国主要的利用外资的形式。在我国当前外资并购实践不规范和外资并购立法严重滞后的情况下,如何解决外资并购上市公司中存在的种种问题是当务之急。
Foreign mergers and acquisitions will replace the foreign direct investment to create a business as our main form of foreign investment. Under the current non-standard practice of M & A in foreign countries and the serious lag in the legislation of M & A, how to solve the problems existing in foreign capital merger and acquisition of listed companies is a top priority.
