提单批注是提单运输中一项十分重要的法律行为,并因为可能导致提单不清洁的法律后果而极易在托运人与承运人之间、承运人与收货人之间产生纠纷。事实上,一方面,确实仅提单上有无批注而非有无“清洁”与否的记载决定了提单是否清洁;而另一方面,并非提单上的所有批注而仅有明示货物表面状况不良的批注将导致提单不清洁的法律后果,并且承运人作上述不清洁提单批注的时间亦仅限于其接收货物时。
