企业集团是一个由多个法人组成的、以产权关系作为基础纽带的多层次组织系统。在集团运作过程中,母子公司存在显著的信息不对称、委托代理等问题。随着我国企业集团运作的普及与发展壮大,集团的利益关系日益复杂,母子公司间的利益冲突严重影响到集团经济效益的提高以及集团发展战略的实施。加强企业集团母子公司利益冲突的协调对于降低集团经营风险、提高经济效益、助推经营战略的实施具有重要意义。本文总结了集团运作过程中母子公司存在的利益冲突,深入分析利益冲突产生的制度、体制原因,并就如何协调母子公司的利益提出措施与建议。
An enterprise group is a multi-level organization system consisting of multiple legal entities and using property rights as a basic bond. In the course of the operation of the group, there are significant issues such as information asymmetry and entrusted agency. With the popularization and development of the operation of China’s enterprise groups, the interest relationship of the Group has become increasingly complex. The conflict of interest between the parent company and the parent company has seriously affected the economic efficiency of the group and the implementation of the Group’s development strategy. Strengthening the coordination of interest conflicts between the parent company and the parent company of an enterprise group is of great significance in reducing the Group’s operational risk, improving economic efficiency, and boosting the implementation of business strategies. This article summarizes the conflicts of interest between the parent company and the parent company during the operation of the group, analyzes in depth the institutional and institutional causes of the conflict of interest, and proposes measures and suggestions on how to coordinate the parent company’s interests.
