承租人先买权的行使会涉及出租人、承租人、第三人三种民事主体的利益。本文探讨承租人先买权的性质,得出两项基本结论:一、我国民法上的承租人先买权继受于我国传统民法并长期有效的一项法律制度,并非源自于德国。二、房屋承租人的先买权性质为形成权,承租人一经行使就与出租人形成买卖合同,出租人就同一个标的产生两个买卖合同,形成一物二卖。
The exercise of tenant’s preemption will involve the interests of the three civil entities, the lessor, the lessee, and the third party. This article explores the nature of preemptive tenants, and draws two basic conclusions: First, China’s civil law on the lessee first option to follow the traditional civil law in our country and long-term effective legal system, not derived from Germany. Second, the nature of the lessee’s preemption is the right of formation, the lessee to exercise the lease contract with the lessor, the lessor on the same subject to produce two contracts of sale, the formation of two things to sell.
