一、实行企业有偿转让和兼并必须解决的几个理论问题在我国经济发展中,资源的优化配置和产业结构调整,是一个一直没有很好解决的大问题。从实践上看,我们只有资产增量的调整而无资产存量的调整。资产增量调整的唯一手段就是增加投资。这种手段不仅受国家财力的限制,而且受时间滞后的约束,见效缓慢,作用不大。因此我们必须探讨如何使资产存量流动的机制,实现社会资产在流动中的合理配置。企业的有偿转让和兼并,正是近年来在改革的推动下新出现的一种调整资产存量的有效方式,有利于产业结构和企业组织结构的合理化。但是这种方式现在还没有引起足够的重视,

Several Theoretical Issues That Must Be Solved When Implementing Enterprise’s Paid Transfers and Mergers In the economic development of our country, the optimal allocation of resources and adjustment of industrial structure is a major problem that has not been well resolved. From a practical point of view, we only adjust the incremental assets without adjusting the stock of assets. The only way to adjust incremental assets is to increase investment. This method is not only limited by the state’s financial resources, but it is also subject to the constraints of time. It is slow and has little effect. Therefore, we must explore how to make the asset stock flow mechanism and realize the rational allocation of social assets in the flow. The paid transfer and merger of enterprises is an effective way to adjust the stock of assets that has emerged under the impetus of reforms in recent years and is conducive to rationalizing the industrial structure and the organizational structure of enterprises. However, this method has not yet attracted enough attention.
