随着我国市场经济的发展,中外投资领域面临着可持续发展的新难题,在我国“三资法”存在不足、各部委规章的规定交错的背景下,VIE模式在我国境外上市领域广泛适用,与此同时,也有外国投资者利用VIE模式进入我国外资限制行业。《外国投资法(草案征求意见稿)》的出台,标志着我国对外资监管制度的改革。本文拟通过分析《外国投资法(草案征求意见稿)》中的控制制度,并从监管VIE模式的角度提出一定的完善建议。
With the development of the market economy in our country, the Chinese and foreign investment fields are faced with the new difficult problem of sustainable development. Against the background of the existence of the “three-capital law” in our country and the regulations and regulations of all the ministries and commissions, the VIE model is widely used in overseas listing of our country Applicable, at the same time, foreign investors also use the VIE model to enter China’s foreign-restricted industries. The promulgation of the Law on Foreign Investment (draft of the draft for comments) marks the reform of our country’s supervisory system for foreign investment. This paper intends to analyze the “foreign investment law (Draft Draft)” in the control system, and from the perspective of regulatory VIE model put forward some suggestions.
