保护投资者利益是公司法制建设的 重要内容,相对于非上市公司而言,上市 公司法律制度更关注对公众投资者的保 护。我国众多的上市公司,在股东大会、 董事会、独立董事、信息披露、财务制度 等方面,都不同程度地遇到很多特殊问 题。尽管现行上市公司制度有针对性地 做出了许多特别规定,但笔者认为,我国 上市公司制度更应当侧重从公司产权制 度改革入手,提高公司规范运作和经营 管理水平,着力解决实践提出的挑战。
Protecting the interests of investors is an important part of corporate legal system construction. Compared with non-listed companies, the legal system of listed companies is more concerned with the protection of public investors. Many listed companies in our country have encountered many special problems to varying degrees in the general meeting of shareholders, board of directors, independent directors, information disclosure and financial system. Although the current listed company system has made many special provisions pertinently, the author believes that the listed company system in our country should focus more on the reform of the company’s property rights system, improve the company’s standard operation and management level, and strive to solve the challenges posed by practice.
