表见代理制度是保护交易安全的重要制度,笔者通过利益分析和价值判断认为,对本人利益的牺牲必须有本人方面的可归责性,本人方面的归责性要综合考虑本人对风险的控制能力,将个案因素全面纳入考量范围,包括代理外观的可信赖性,代理行为的内容、期限,代理行为的普遍性,对本人利益的影响等。笔者还将表见代理区分为两类,即代理权限制、消灭或者代理权授予不明导致的表见代理,以及因可归责于本人事由或特殊关系造成授予代理权外观的表见代理。最后,笔者认为表见代理经相对人主张方可适用,对于无权代理,相对人可以选择无权代理人履行合同或者承担损害赔偿责任,以此来缓解限制适用表见代理对交易安全的冲击。
