按照新近颁布的股份制企业试点办法,股份制企业,是全部注册资本由全体股东共同出资,并以股份的形式构成的企业.股份制企业的优越性,已被发达国家百余年来的实践所证实.有的经济学家称股份有限公司是与电能、原子能的发现意义同样重大的“伟大创举”,因为它是将人们的参与意识和风险意识、利益的大小和责任的限度有机地结合起来高速运行的企业形式.随着我国股份制企业立法的进一步发展和完善,这种企业形式将被大范围地推广试用.
