《商业银行法》第三十七条明确规定了贷款合同应当约定的事项,目前商业银行贷款中使用的贷款合同大多也只包括上述内容。而对上述条款稍加分析,我们就可看出,上述条款只规范了基本的交易行为,对在借贷交易中承担较大风险的贷款方,贷款合同缺乏保护性条款。我国商业银行法虽然没有将保护性条款列为贷款合同的必备条款,但却赋予当事双方将他们认为需要约定的其他事项订入合同的自治权,贷款银行完全可以据此
Article 37 of the Law on Commercial Banks stipulates clearly the items that should be agreed upon in a loan contract. At present, most loan contracts used in commercial bank loans include only the above contents. And a little analysis of the above terms, we can see that the above provisions only regulate the basic trading behavior, for loans borne by lenders, the loan contract lacks a protective clause. Although China’s commercial bank law does not include the protective clause as a necessary clause in a loan contract, it gives the parties the right to contract the other matters that they think require the contract.
