一人公司因其股东一元化,致使股东人格与公司人格的区分有如“雾里看花”一般,从而带来了形形色色的纠纷。一人公司具有公司品格,属于独立的法人。本文通过对其历史发展、特征的介绍,从纵向与横向两个角度肯定了这一点,同时通过对一人公司社团性、法人人格的探讨,一定程度上排除了学理上对一人公司的顾虑。在此基础上,本文肯定了有限责任对一人公司的庇护,并且将其作为一人公司的主要责任形式。
The one-person company, due to the unification of its shareholders, caused the distinction between shareholder personality and corporate personality to be similar to “foggy flowers”, thus bringing about all kinds of disputes. One-person company has the company’s character and belongs to an independent legal person. This article affirms this point from both vertical and horizontal perspectives by introducing its historical development and features. At the same time, through the discussion of one-company corporate social personality and corporate personality, this article to some extent ruled out the concerns of one-man companies theoretically. On this basis, the article affirms the asylum of one-person company by limited liability and regards it as the primary responsibility of one-man company.
