相比于我国的公司法,德国公司法对于股东被动强制制度的制度更为具体和多样,公司可以基于不同的事实迫使股东退出公司从而保障公司自身的利益。在德国的公司法上,有关于股东强制退出的制度,在本文中主要对于股东失权、股东除名以及强制排除少数股东的制度的内容以及制度设计的优点加以探讨。我国颁布的《公司法司法解释(三)》中对于股东除名的规则作出了具体的规定,然而在结合德国公司法中对于股东除名和股东失权的规定,不难认定为我国的“股东除名”的规定实质是股东失权。
Compared with the company law in our country, the German company law is more specific and diverse for the system of passive coercive force of shareholders. Companies can force shareholders out of the company based on different facts so as to protect their own interests. In the German company law, there is a system about the mandatory withdrawal of shareholders. In this paper, the author mainly discusses the contents of the system of shareholders’ loss of power, de-listing of shareholders and the system of excluding minority shareholders, and the advantages of system design. However, the combination of the German company law on the de-listing of shareholders and the loss of shareholders is not difficult to be recognized as a “shareholder of our country.” Excuse "the provisions of the essence of the loss of shareholders.
