我国新《公司法》第152条中明确规定了股东的代表诉讼提起权,这为我国司法实践提供了法律依据。本文结合新公司法考察了立法现状,最后在借鉴国外先进立法的基础上对该制度的完善提供了一些建议。
Article 152 of China’s new “Company Law” clearly stipulates the right of the shareholder’s representative to initiate a litigation, which provides the legal basis for our country’s judicial practice. This article examines the status quo of legislation with the new company law, and finally provides some suggestions on the improvement of the system based on the reference of advanced foreign legislation.
