本课题紧紧围绕广州市社会经济发展的实际状况,并结合国内外关于民间融资的先进经验,提出了广州民间融资立法建议,主要内容包括总则性条款、民间借贷主体、民间借贷行为(规制对象)、风险防范和处置等。本课题的创新点在于:第一,主张继续推进利率市场化改革:应在区分长期借款和临时性的资金周转(短期借款)的基础上进行分类规制;对短期借款的利率应进一步放开;对长期借贷,可暂遵照最高人民法院最新的司法解释,即“两线三区”规则;长远来看,“两线三区”还是应回到“一线两区”。第二,建立对专业投资者的发行豁免机制。第三,为民间融资提供“安全港规则”。第四,强调对老年投资者的保护,设立“老年金融理财公司”。
Focusing on the actual situation of social and economic development in Guangzhou and combining domestic and foreign advanced experience in private financing, this paper puts forward suggestions on civil financing in Guangzhou. The main contents include general provisions, private lending entities and non-government lending ), Risk prevention and disposal. The innovation of this subject lies in the following aspects: First, it is proposed to continue promoting the marketization of interest rate reform: classification should be based on the distinction between long-term loans and temporary cash flow (short-term borrowings); interest rates on short-term borrowings should be further liberalized; Long-term loans may be subject to the latest judicial interpretation of the Supreme People’s Court, that is, the “two lines and three zones” rule. In the long run, “two lines and three zones” should still be returned to the “front lines and two zones.” Second, establish a mechanism for issuing exemptions to professional investors. Third, to provide “safe harbor rules ” for private financing. Fourth, emphasize the protection of the elderly investors, the establishment of “elderly financial management company.”
