意向书是外贸投资业务中的一种常用的文书,是我国企业或者其他经济组织同外国的企业、其他经济组织或者个人之间,就开展业务问题而达成的书面协议。它是中、外“双方共同一致的意志行为”的表现,故称“意向书”。 意向书的作用,主要是: 第一,是具有约束力的法律文书,可以约束双方的行动,保证双方的利益。 第二,可以保证业务朝着健康有利的方向进行。 第三,可以为签订涉外经济合同铺平道路。 意向书通常有以下三种: 第一种是联签式意向书。这种意向书在形式上保持比较正规的协议形式,在书面上除将双方的意向表明外,还要出具双方的详细情况及代表人姓名,并一式两份,每份上有双方代表的签名。体现了双方的郑重与诚意。 第二种是换文式意向书。这种意向书是双方以交换信函的方法来表示各自的合作意向。 Letter of Intent is a commonly used instrument in foreign trade and investment business and is a written agreement reached between our country’s enterprises or other economic organizations and foreign enterprises or other economic organizations or individuals to carry out business problems.
