意向书是外贸投资业务中的一种常用的文书,是我国企业或者其他经济组织同外国的企业、其他经济组织或者个人之间,就开展业务问题而达成的书面协议。它是中、外“双方共同一致的意志行为”的表现,故称“意向书”。 意向书的作用,主要是: 第一,是具有约束力的法律文书,可以约束双方的行动,保证双方的利益。 第二,可以保证业务朝着健康有利的方向进行。 第三,可以为签订涉外经济合同铺平道路。 意向书通常有以下三种: 第一种是联签式意向书。这种意向书在形式上保持比较正规的协议形式,在书面上除将双方的意向表明外,还要出具双方的详细情况及代表人姓名,并一式两份,每份上有双方代表的签名。体现了双方的郑重与诚意。 第二种是换文式意向书。这种意向书是双方以交换信函的方法来表示各自的合作意向。
Letter of Intent is a commonly used instrument in foreign trade and investment business and is a written agreement reached between our country’s enterprises or other economic organizations and foreign enterprises or other economic organizations or individuals to carry out business problems. The letter of intent usually has the following three kinds: The first kind is the joint signed letter of intent. This letter of intent is formally in the form of a more formal agreement. In writing, in addition to the intent of both parties, details of both parties and the names of the representatives shall be provided in duplicate, each with the signature of the representatives of both parties. Embodies both the solemn and sincere. The second is a style of exchange of letters. This letter of intent is to exchange their letters both ways to express their intention of cooperation.
