完善的公司治理结构是上市公司质量的基石,公司的治理结构又完全取决于公司的股权结构,股权结构过于分散和过于集中都不利于上市公司的治理,股权结构过于分散,不利于形成有效的监督机制,股权结构过于集中,又不利于形成有效的制衡机制。目前我国上市公司存在的主要问题不是股权过于分散而是股权过于集中,国有股大都占控股地位,因此规范控股股东行为将是上市公司形成有效治理结构的关键。
