在经济转型和互联网背景下,研究企业的战略决策有重要意义。董事会作为企业的决策机构,会对企业决策有什么样的影响?监事会作为监督机构,是否起到应有的监督作用,会影响董事会的战略决策吗?以创业板上市的公司为研究对象,对董事会异质性与企业战略决策之间的关系进行研究,并重点关注监事会的监督对该关系的调节作用。研究发现,董事会年龄异质性、教育背景异质性与企业的外向型战略决策负相关;董事会任期异质性与企业的外向型战略决策正相关。此外,监事会的监督作用负向调节董事会年龄异质性和教育背景异质性与企业外向型战略决策之间的关系。
In the context of economic restructuring and the Internet, it is of great importance to study the strategic decisions of enterprises. GEM-listed companies as the object of study, The relationship between board heterogeneity and corporate strategic decision-making, and focuses on the regulatory role of the supervisory board on the relationship. The study found that the age heterogeneity of the board of directors and the heterogeneity of educational background are negatively correlated with the outward-oriented strategic decisions of the enterprises. The heterogeneity of the tenure of the board of directors is positively correlated with the outward-oriented strategic decisions of the enterprises. In addition, the supervisory role of the board of supervisors negatively regulates the relationship between the age heterogeneity of the board of directors and the heterogeneity of education background and the strategic decision-making of export-oriented enterprises.
