代理是现代社会中一项重要的制度,狭义无权代理是代理制度适用中常见的问题。狭义无权代理涉及三方主体:相对人、无权代理人、被代理人,涉及的权利有相对人的催告权、撤回权和请求无权代理人承担损害赔偿责任的权利,以及被代理人的追认权。各主体是否善意关系到各方的权利义务,影响法律效果的归属。本文认为分析善意在狭义无权代理中扮演的角色有助于明确三方主体的权利义务,鼓励权利的行使,明晰责任的承担。
Agency is an important system in modern society. In the narrow sense, agency without right is a common problem in the application of agency system. Narrow sense of right agent involves the tripartite subjects: the relative, the person without power, the agent, the rights involved have the right to sue, the right to withdraw and to request the right not to assume the liability for damages, and the agent’s Follow-up right. The goodwill of all the parties is related to the rights and obligations of all parties and affects the attribution of legal effects. This paper argues that the analysis of the role of goodwill in the narrow sense of power of attorney helps to clarify the rights and obligations of the tripartite subjects, encourage the exercise of rights and clear the assumption of responsibility.
