股票期权作为企业经营管理中对公司经理和雇员的长期薪酬激励制度,对于改善公司治理、提升公司整体价值、提高投资者的投资回报率都具有重要意义。由于股票期权最近几年才被引入到我国的公司治理中,配套法规在该领域仍是一片空白。本文对股票期权激励的有关法律问题进行了分析,并为完善我国股权激励的法律规制提出相关建议,以期能对相关法规的完善有所帮助。
As a long-term compensation incentive system for managers and employees, corporate stock options play an important role in improving corporate governance, enhancing the overall value of the company and increasing the return on investment of investors. As stock options have only been introduced into our country’s corporate governance in recent years, supporting regulations are still blank in this field. This article analyzes the legal issues related to the stock option incentive and puts forward some suggestions to improve the legal regulation of the equity incentive in our country so as to be helpful for the improvement of relevant laws and regulations.
