1、近两年来,各地方、企业对股份制都在纷纷试验、推行;理论界对股份制也经历着由热而冷,又由冷而热的过程.主张实行股份制的理论家们,对于通过股份制要解决什么问题,采用什么样的制度设计才能有助于解决这些问题,存在不同的认识.然而,现实中企业搞股份制的动机以及投资者追求的目标,比起理论家的逻辑构思来大相径庭.在一些理论家看来,在现有企业资产权力和收益分配格局的基础上,通过股份制的建立来划分企业权益界限,就可根本转变企业经营机制.但
