我国民事立法中,从《民法通则》、《担保法》及《担保法解释》到《物权法》中对抵押物转让条件及效力作出了完全不同的规定,大致经历了“限制-有条件的允许-限制”的变化过程。这几次修改旨在于尽力完善我国抵押物的转让制度,然而有三个根本问题依然没有得到妥善解决。对我国抵押物的转让规则应进行重构:取消抵押物转让的限制,允许抵押人自由转让抵押物;以价金物上代位主义为主,以抵押权追及效力为辅;完善我国现有的动产抵押制度,减少动产抵押中受让人“善意”的几率等。
In the civil legislation of our country, totally different stipulations have been made on the conditions and effects of the transfer of collateral from the “General Principles of Civil Law”, “Guarantee Law” and “Explanation of Security Law” to “Real Right Law”, and have generally gone through “restriction - conditionality Allow - limit ”change process. These revisions are intended to make every effort to improve the system of transfer of mortgages in our country. However, there are still three fundamental problems that have not been properly resolved. The rules of the transfer of our collateral should be restructured: the transfer of the collateral should be canceled, the mortgagor should be allowed to freely transfer the collateral; the gold meddling should be replaced by the collaterals, Mortgage system to reduce the transfer of real estate mortgage assignee “goodwill ” chances.
