本文通过跟踪房地产开发企业利用商业银行为小企业金融创新之际,借壳小企业获得银行贷款,以逃避国家对房地产行业宏观调控带来融资困难的过程,揭示了这种以房地产开发商自有房作抵押担保而发放的贷款,存在“用途不合规、抵押物处置困难、处置时抵押物价格不能有效覆盖贷款本息”等风险,并提出了“链接抵押物承租人、租期和租金,完善房地产抵押权;链接抵押物所有权人,改抵押物有限担保为抵押物完全担保……”等五项措施。
