为贯彻落实《国务院关于推进资本市场改革开放和稳定发展的若干意见》的精神,沪深证券交易所于2004 年11月29日联合发布了《上海证券交易所股票上市规则(2004年修订)》和《深圳证券交易所股票上市规则(2004年修订)》(以下简称“新《股票上市规则》”),并于同年12月10 日起正式实施。修订后的新《股票上市规则》引入了公平披露概念,增加了暂缓披露规定;强调高管诚信勤勉,强化董事会秘书权力职责;调整了关联交易的披露标准和审议程序等内容。但是业内人士却因立场不同意见不尽一致, 产生了观点的交锋。伏尔泰曾说过:“尽管我不同意你的观点,但我愿意用生命来捍卫你说话的权力。”本刊特编辑一组文章,从证券公司、公众股股东以及业内专家学者等多个角度,呈现他们对此次上市规则修改的不同看法。不管观点对错与否,我们尊重每个人表达自己观点的权力。因为任何事情,因立场、角度不同,观点也不尽相同,所谓见人见智,希望通过我们在信息传递中的努力,引起有关部门的深思……
