国有企业实行股份制改造,是企业转换经营机制,建立现代企业制度的重要途径。1994年1月18日,国务院批准武汉钢铁(集团)公司做为本年度第一批境外发行股票和上市预选的22家试点企业之一。3月7日,国务院证券委专门就此发文通知武钢,要求武钢做好境外发行股票与上市的各项准备工作。企业股票境外上市前,要以国际标准对企业资产价值进行评估,向国际惯例靠拢,与国际惯例接轨。武钢接到国家证券委的通知后,加快了境外上市准备工作的步伐。配备专门人员,成立了股份制改造办公室,股份制改造工作全面展开,业绩审计、资产价值评估等系列工作紧张进行,聘请的境外中介机构“三师一商”(即评估师、会计师、律师、证券商)也陆续进驻武钢,与武钢生产经营的各项业务全面接触。这对于企业的保密工作来讲,确有一种令人防不胜防之感。股份制改造过程中所出现的这种状况,不仅反映出我们旧的经济体制、管理模式与国际标准、惯例的差异,我们的保密工作也遇到了新的问题和挑战。

The overseas intermediary agencies hired by them were “three divisions and one business” (ie, appraisers, accountants, lawyers, securities firms). ) Also gradually stationed in Wuhan Iron and Steel, and Wuhan Iron and Steel production and operation of all business contacts. This is indeed a kind of unpredictable sense for the company’s confidential work. This situation in the process of joint-stock reform not only reflects the differences between our old economic system and management model and international standards and customs, but also brings us new problems and challenges in our confidential work.
